These Terms of Service govern your use of Setidure Technologies' products, software deployments, and consulting services. Please read them carefully before engaging our services.

1. Acceptance of Terms

By engaging Setidure Technologies for any product deployment, consulting service, or by using our website, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of an organisation, you represent that you have the authority to do so.

These terms apply to all clients, partners, and users who access or use Setidure's products and services. We reserve the right to update these terms periodically. Continued use of our services after any update constitutes acceptance of the revised terms.

2. Description of Services

Setidure Technologies provides on-premises AI software deployment and consulting services. This includes the design, installation, configuration, and support of AI infrastructure — including but not limited to document intelligence systems (Granthik), speech AI platforms (VaakShakti), student mentorship platforms (Upadhyai), and multi-agent automation workflows (AccuFlow).

Services are scoped per engagement through a signed proposal or statement of work. The specific deliverables, timelines, and responsibilities for each project are defined in that document.

3. Client Responsibilities

Clients are responsible for maintaining the hardware and network infrastructure on which Setidure's software is deployed. This includes ensuring adequate server capacity, network access for deployment activities, and hardware maintenance.

Clients are solely responsible for managing access credentials for deployed systems, including user accounts, API keys, and administrator passwords. Setidure is not liable for any security incidents arising from credential mismanagement by the client.

Clients are responsible for maintaining regular data backups. Setidure may assist with backup configuration as part of a deployment, but ongoing backup execution and verification remains the client's responsibility.

4. Intellectual Property

All software, models, workflows, and documentation created by Setidure Technologies remain the intellectual property of Setidure Technologies. This includes proprietary code, prompt engineering frameworks, fine-tuned models, and system architectures.

Upon completion of a paid deployment, clients receive a non-exclusive, non-transferable licence to use the deployed software within their organisation for the purpose specified in the engagement agreement. This licence does not permit redistribution, resale, or sub-licensing of Setidure's software to third parties.

Any customisations or configurations developed specifically for a client as part of a paid engagement are owned by Setidure unless explicitly transferred in writing as part of a custom IP agreement.

5. Confidentiality

Both parties agree to keep confidential any non-public information shared during the course of an engagement, including technical specifications, pricing, business processes, and system designs. This obligation survives the termination of any service agreement for a period of three years.

Setidure does not share client data, documents, or operational information with any third party. Client data processed by deployed systems remains on the client's infrastructure at all times.

6. Limitation of Liability

Setidure Technologies provides its software and services on an 'as is' basis. While we take reasonable care in the design and deployment of our systems, we do not warrant that software will be error-free or uninterrupted.

To the maximum extent permitted under applicable Indian law, Setidure's total liability to a client for any claim arising from a service engagement shall not exceed the fees paid by that client for the specific service giving rise to the claim. Setidure shall not be liable for indirect, incidental, or consequential damages of any kind.

7. Governing Law

These Terms of Service are governed by the laws of India. Any dispute arising from or in connection with these terms or any service provided by Setidure Technologies shall be subject to the exclusive jurisdiction of the courts of Delhi, India.

The parties agree to attempt to resolve any dispute through good-faith negotiation before initiating formal legal proceedings.
